Daedalus by Knossos — Terms of Service & Beta Agreement

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING DAEDALUS BY KNOSSOS. BY CLICKING "I ACCEPT" YOU AGREE TO BE BOUND BY THESE TERMS.

1. OWNERSHIP AND INTELLECTUAL PROPERTY

Daedalus by Knossos is proprietary software exclusively owned by Knossos LLC, 514 German Street, Harmony PA 16037 (knossos.io) ("Knossos"). All rights, title, and interest in and to Daedalus by Knossos — including but not limited to the software, its design, architecture, features, functionality, user interface, algorithms, documentation, and all updates, modifications, and derivative works — are and shall remain the sole and exclusive property of Knossos LLC

Nothing in these Terms grants you any ownership interest, intellectual property rights, or license rights in Daedalus by Knossos beyond the limited right to use the software as expressly set forth herein.

2. BETA TESTING — NO IP TRANSFER

This is critical — read carefully.

As a beta tester, you may submit feedback, report bugs, suggest features, identify issues, or otherwise provide input regarding Daedalus by Knossos ("Feedback"). You acknowledge and agree that:

(a) All Feedback becomes the sole property of Knossos LLC You hereby irrevocably assign to Knossos LLC all right, title, and interest in any Feedback you provide, including any intellectual property rights therein.

(b) You receive no compensation for Feedback. Knossos LLC is under no obligation to compensate you for any Feedback, regardless of whether such Feedback is used, incorporated into the software, or results in improvements or new features.

(c) You receive no IP rights for participating in beta testing. Your participation as a beta tester does not entitle you to any ownership, license, royalty, or other interest in Daedalus by Knossos now or in the future, regardless of the nature or value of any Feedback you provide.

(d) Ideas and suggestions are not protectable contributions. If Knossos LLC implements a feature or improvement that is similar to or identical to a suggestion you made, you acknowledge that Knossos LLC independently owns that feature and you have no claim to it.

3. BETA SOFTWARE — USE AT YOUR OWN RISK

Daedalus by Knossos is currently in beta testing. Beta software is unfinished and may contain bugs, errors, and instabilities. Specifically:

(a) The software is provided "AS IS" without warranty of any kind, express or implied.

(b) Knossos LLC makes no representations regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any output generated by Daedalus by Knossos, including but not limited to cable length estimates, bills of materials, scope of work documents, labor estimates, and rack designs.

(c) All output must be independently verified by a qualified professional before use in any construction, procurement, installation, or design decision.

(d) Knossos LLC reserves the right to modify, suspend, or discontinue Daedalus by Knossos at any time without notice.

(e) Knossos LLC reserves the right to delete beta user accounts and associated data at any time without notice or liability.

4. LIMITED LICENSE

Subject to your acceptance of and compliance with these Terms, Knossos LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use Daedalus by Knossos solely for the purpose of beta testing and evaluation. This license does not include the right to:

(a) Copy, modify, or create derivative works of Daedalus by Knossos

(b) Reverse engineer, decompile, or disassemble the software

(c) Distribute, sublicense, sell, or otherwise transfer access to Daedalus by Knossos

(d) Use Daedalus by Knossos for any commercial purpose other than evaluating it for potential internal use

(e) Remove or alter any proprietary notices or branding

5. CONFIDENTIALITY

Daedalus by Knossos contains trade secrets and proprietary information belonging to Knossos LLC You agree to:

(a) Keep the software, its features, and any non-public information about its capabilities strictly confidential.

(b) Not disclose screenshots, exports, or descriptions of Daedalus by Knossos to third parties without prior written permission from Knossos LLC

(c) Not use information about Daedalus by Knossos to develop or assist in developing competing software.

(d) Treat all information about Daedalus by Knossos with the same degree of care you use to protect your own confidential information, but in no event less than reasonable care.

(e) These confidentiality obligations survive termination of your beta testing participation indefinitely.

6. DATA AND PRIVACY

(a) Project data you enter into Daedalus by Knossos remains your property. Knossos LLC will not share your project data with third parties except as required by law.

(b) Knossos LLC may collect and analyze usage data, error logs, and performance metrics to improve the software. This data is anonymized and does not include your project content.

(c) During beta testing, Knossos LLC staff may access your account data for debugging and support purposes with your implied consent as a beta tester.

(d) Your acceptance of these Terms is recorded with a timestamp, IP address, and browser information as required for legal compliance.

7. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KNOSSOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF DAEDALUS BY KNOSSOS, EVEN IF KNOSSOS LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL KNOSSOS LLC'S TOTAL LIABILITY EXCEED ZERO DOLLARS ($0) FOR BETA SOFTWARE PROVIDED FREE OF CHARGE.

8. GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Butler County, Pennsylvania. You hereby consent to personal jurisdiction in Butler County, Pennsylvania.

9. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Knossos LLC regarding Daedalus by Knossos and supersede all prior agreements, understandings, and representations.
